Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Tidy Statement at tidystatement.com, including the bank-statement conversion tool, waitlist, website, and any related services we provide. By using Tidy Statement, you agree to these Terms. If you do not agree, do not use the Service.

2. Who We Are

Tidy Statement is operated by Craftled, MB ("Craftled", "we", "us", or "our").

For inquiries, contact support@tidystatement.com. Emails sent to addresses at tidystatement.com are received and handled by Craftled.

3. Eligibility

You must be at least 18 years old to use Tidy Statement. If you use the Service on behalf of a company, client, or other organization, you represent that you have authority to bind that organization to these Terms.

4. Description of Service

Tidy Statement provides an AI-powered tool that extracts transaction data from bank-statement PDFs and images and returns structured results that can be downloaded as CSV. The Service is currently offered free of charge while in public beta, without signup.

Beta features may change, become unavailable, or move to a paid plan. If paid plans launch, we will publish the applicable pricing and any additional payment terms before charging you.

5. Your Uploads and Output

You retain ownership of the files you upload and the output generated for you. You grant Craftled a limited license to process your uploaded file solely to operate Tidy Statement, generate the extraction result, protect the Service from abuse, and debug operational issues without storing transaction content.

You are responsible for having the right to upload each statement and for reviewing the output before relying on it. Tidy Statement does not provide financial, accounting, tax, legal, investment, or other professional advice.

6. Acceptable Use

You agree not to:

• Upload statements that do not belong to you or that you do not have permission to process.
• Use the Service for any unlawful purpose, including fraud or money laundering.
• Use extracted data to mislead banks, tax authorities, employers, customers, or any other person.
• Attempt to circumvent BotID checks, rate limits, budget controls, access controls, or other security measures.
• Scrape, mirror, probe, scan, load test, reverse engineer, or otherwise interfere with the Service without our prior written permission.
• Upload malware, viruses, malformed files, prompt-injection payloads, or content designed to damage or manipulate the Service.
• Resell, sublicense, or offer Tidy Statement as part of a competing service without our permission.

We may investigate suspected violations, restrict or terminate access, and report unlawful activity to authorities where appropriate.

7. AI Processing and Accuracy

Tidy Statement uses third-party AI models routed through the Vercel AI Gateway. AI-generated extraction results can be incomplete, inaccurate, duplicated, or formatted differently from the original statement. You must verify dates, amounts, balances, account details, and categories before using the output for accounting, tax, legal, reporting, or other important decisions.

8. Data and Privacy

Our handling of personal data is described in our Privacy Policy. Uploaded files are processed in memory and are not retained by Craftled after the request completes. We do not store extracted transaction content in a database.

9. Intellectual Property

The Tidy Statement name, website, interface, design, code, copy, graphics, logos, and other materials are owned by Craftled or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own lawful purposes.

Bank names, logos, and trademarks belong to their respective owners. Tidy Statement is not affiliated with, endorsed by, or sponsored by any bank.

10. Third-Party Services

Tidy Statement depends on third-party providers for hosting, bot protection, analytics, rate limiting, and AI processing. Those providers may process data as described in the Privacy Policy and may be subject to their own terms and policies. We are not responsible for third-party services outside our control.

11. Disclaimers

Tidy Statement is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

We do not guarantee that the Service will be available without interruption, that defects will be corrected, that every bank statement will be readable, or that the Service will be free of viruses or other harmful components.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Craftled, its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of Tidy Statement, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or your use of Tidy Statement is limited to the greater of EUR 100 or the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by negligence.

13. Indemnification

You agree to indemnify and hold harmless Craftled and its officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of your breach of these Terms, misuse of the Service, violation of law, violation of a third-party right, or files you upload to the Service.

14. Termination

You may stop using Tidy Statement at any time. We may suspend, restrict, or terminate access to the Service at any time, with or without notice, for any reason, including breach of these Terms, abuse, security risk, or service discontinuation.

Sections that by their nature should survive termination, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law, survive any termination of these Terms.

15. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes may be communicated by a notice on tidystatement.com or by email where we have an email address for you. Continued use of Tidy Statement after the effective date of an updated version constitutes acceptance of the changes.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-laws principles.

Before initiating formal legal action, you agree to contact us at support@tidystatement.com and attempt to resolve the dispute in good faith for at least thirty days. If the dispute is not resolved, the courts of Vilnius, Lithuania have exclusive jurisdiction, except where applicable consumer-protection law gives you the right to bring an action in the courts of your country of residence.

EU consumers may also use the European Commission's Online Dispute Resolution platform.

17. Miscellaneous

• These Terms, together with the Privacy Policy, constitute the entire agreement between you and Craftled regarding Tidy Statement.
• If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
• Our failure to enforce a provision is not a waiver of our right to enforce it later.
• You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
